Demo Upload Legal Attestation — Validus Publishing Group LLC
Attestation of Authority and Ownership
By uploading, submitting, or otherwise transmitting any musical composition, sound recording, demo, or related material (the "Work") to the Validus VSCM™ system (the "Platform"), the User represents and warrants that: (a) The User has full legal authority to upload and manage the Work; (b) The User is either the sole owner or has obtained all necessary permissions from all contributors and rights holders; (c) The Work does not infringe any third-party rights; (d) All submitted information, including metadata and ownership splits, is accurate and complete.
Monetization and Licensing Authorization
The User affirms they have full authority to monetize and license the Work and authorize Validus to evaluate and facilitate opportunities.
Demo Submission Status and Obligations
The User acknowledges demo uploads may require full masters, stems, and updated metadata upon release, placement, or request. Failure to comply may result in restriction or removal.
Indemnification
The User agrees to indemnify Validus against any claims arising from breach or disputes related to the Work.
Reliance and Enforceability
Validus relies on this attestation. False statements may result in termination and legal action.
Electronic Acceptance
By agreeing, the User provides a legally binding electronic signature.
Governing Law
This agreement is governed by the laws of the State of New York.
Acknowledgment
The User affirms that all statements are true and legally binding.
